These Terms and Conditions ("Terms") govern the use of the services
provided by Learnnex Ltd (trading as "Learnex.uk"), a company
registered in England and Wales with company number 16730635 and
registered office at 35 Beames Road, London, England, NW10 8BW. By
creating an account, accessing the Learnex website, booking or
delivering any lesson, or otherwise using our services, you agree to
be bound by these Terms.
1. Definitions
In these Terms:
- “Account” means a registered user profile on the Platform.
- “AI Assistant” means any artificial intelligence system used by
Learnnex Ltd for analysis, feedback, safeguarding and service
improvement.
- “Booking” means the scheduling of a Lesson between a
Student/Parent and a Tutor via the Platform.
- “Data Protection Laws” means the UK General Data Protection
Regulation (UK GDPR) and the Data Protection Act 2018.
- “Lesson” means a tutoring session arranged via the Platform.
- “Parent/Guardian” means the parent or legal guardian of a Student
under 18 years old.
- “Personal Data” has the meaning given in Data Protection Laws.
- “Platform” means the Learnex website and related systems operated
by Learnnex Ltd.
- “Recording” means any audio, video or screen capture made of a
Lesson.
- “Student” means a user receiving Tuition Services. Where under 18,
it includes their Parent/Guardian for contractual purposes.
- “Tuition Services” means educational instruction provided by a
Tutor.
- “Tutor” means a self‑employed contractor delivering Tuition
Services via the Platform.
- “Working Day” means Monday to Friday, excluding public holidays in
England and Wales.
2. Contractual Structure
2.1 Learnnex Ltd owns and operates the Platform and facilitates
Bookings and payments.
2.2 Tutors are self‑employed contractors and not employees of
Learnnex Ltd.
2.3 For each Booking:
(a) A contract is formed between the Student/Parent and the Tutor
for the provision of Tuition Services. The Tutor is solely
responsible for the delivery of those Tuition Services.
(b) A separate contract is formed between the Student/Parent and
Learnnex Ltd (trading as Learnex) for the provision of the Platform,
payment processing, safeguarding and quality assurance functions.
3. Accounts and Eligibility
3.1 Students under 18 must be represented by a Parent/Guardian who
creates and controls the Account.
3.2 Tutors must be 18+, legally entitled to work in the UK, and must
complete background checks required by Learnnex Ltd.
3.3 You are responsible for safeguarding your login credentials and
for all activities under your Account.
4. Safeguarding and DBS
4.1 Tutors teaching under‑18 Students must hold an enhanced DBS
check (or equivalent) as required by Learnnex Ltd.
4.2 All parties must comply with Learnnex Ltd’s safeguarding
policies.
4.3 Any safeguarding concerns must be reported immediately to
Learnnex Ltd at learnexsafeguarding@gmail.com.
5. Booking, Cancellations and Rescheduling
5.1 Bookings must be made via the Platform.
5.2 Students/Parents may cancel with a full refund if at least 24
hours before a Lesson. Cancellations within 24 hours are chargeable
in full unless agreed otherwise.
5.3 Tutors cancelling at any time will result in a refund or credit
for the Student/Parent.
5.4 If a Student fails to attend, the Lesson is chargeable in
full.
5.5 Rescheduling requires agreement by both Tutor and Student/Parent
via the Platform.
6. Fees and Payments
6.1 Lesson fees are payable to Learnnex Ltd at the time of
Booking.
6.2 Learnnex Ltd deducts commission and remits payment to Tutors.
6.3 Payments outside the Platform are prohibited.
6.4 Refunds are made to the original payment method.
6.5 Tutors are responsible for their own tax and national insurance
obligations.
7. Conduct
7.1 Tutors must conduct themselves professionally, prepare
adequately, and respect boundaries.
7.2 Students/Parents must act respectfully and ensure a suitable
environment.
7.3 Academic dishonesty is prohibited; Tutors must not complete
assessed work for Students.
8. Technology
8.1 Users are responsible for their own devices and connectivity.
8.2 Disruptions due to technical failure may result in rescheduling
without charge, at Learnnex Ltd’s discretion.
9. Recordings and AI Processing
9.1 Lessons may be recorded and transcribed by Learnnex Ltd.
9.2 Recordings are used for safeguarding, quality control, tailoring
tuition, and AI Assistant development.
9.3 For under‑18 Students, explicit parental consent is required.
9.4 Recordings and transcripts are owned by Learnnex Ltd and may not
be shared without consent.
9.5 Retention 1: up to a month unless legally required longer.
9.6 Retention 2: recordings are uploaded to the site through Google,
where they will stay for 24 hours before being deleted.
9.7 Third‑party processors may be used for transcription and
storage, subject to Data Protection Laws.
10. Intellectual Property
10.1 Platform IP belongs to Learnnex Ltd.
10.2 Tutors retain IP in their teaching materials, but grant
Students a personal licence for educational use.
10.3 Students and Tutors may not copy or distribute Recordings
without written consent from Learnnex Ltd.
11. Reviews and Feedback
11.1 Students/Parents may leave reviews.
11.2 Learnnex Ltd may moderate or remove reviews at its
discretion.
12. Anti‑Circumvention
12.1 Users must not arrange tuition outside the Platform with
contacts first made via Learnnex Ltd for 12 months without
consent.
12.2 Breach may result in account termination and recovery of lost
commission.
13. Suspension and Termination
13.1 Learnnex Ltd may suspend or terminate Accounts for breach,
safeguarding concerns, fraud or abuse.
13.2 Users may close Accounts at any time, but obligations already
incurred remain enforceable.
14. Disclaimers
14.1 The Platform is provided “as is”. Learnnex Ltd makes no
warranties regarding outcomes of Tuition Services.
14.2 Continuous error‑free access to the Platform is not
guaranteed.
15. Limitation of Liability
15.1 Nothing excludes liability for death, personal injury caused by
negligence, fraud, or liability that cannot be excluded by law.
15.2 Subject to 15.1, Learnnex Ltd is not liable for indirect or
consequential losses.
15.3 Aggregate liability is limited to fees paid for the Lesson(s)
giving rise to the claim in the preceding 12 months.
16. Indemnity
16.1 Users indemnify Learnnex Ltd against claims arising from breach
of these Terms, misuse of the Platform, or unlawful conduct.
17. Force Majeure
17.1 Learnnex Ltd is not liable for failure caused by events outside
its control, including natural disasters, strikes, outages, or
governmental acts.
18. Amendments
18.1 Learnnex Ltd may update these Terms. Notice will be given via
the Platform or email. Continued use constitutes acceptance.
19. Notices
19.1 Notices may be delivered by email to the address associated
with your Account, or to Learnnex Ltd at
learnexcontactteam@gmail.com.
20. Assignment
20.1 Users may not assign rights under these Terms without consent.
Learnnex Ltd may assign rights without restriction.
21. Third Party Rights
21.1 No third party has enforcement rights under the Contracts
(Rights of Third Parties) Act 1999.
22. Severance
22.1 If a provision is found unenforceable, it shall be modified to
the minimum necessary to make it enforceable, and the remainder
shall continue in effect.
23. Waiver
23.1 Failure to enforce a right does not constitute waiver of that
right.
24. Governing Law
24.1 These Terms are governed by the laws of England and Wales.
24.2 The courts of England and Wales have exclusive jurisdiction.
